1. Introduction and Acceptance

1.1 Agreement

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Helixir Labs OÜ, a company registered in the Republic of Estonia, with company registration number 16344641, having its registered office at Harju maakond, Tallinn, Lasnamäe linnaosa, Sepapaja tn 6, 15551, Estonia ("Clawhost", "we", "us", "our").

1.2 Acceptance

By creating an account, accessing the platform, deploying an agent, or otherwise using any part of the Clawhost service (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree to these Terms, you must not use the Service.

1.3 Authority

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such case, "you" and "your" refer to both you individually and the organization.

1.4 Age Requirement

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Service.

1.5 Informed Consent and User Acknowledgment

By using the Service, you acknowledge that:

(a) You understand that you are deploying an AI-powered automated assistant that will interact with third parties on your behalf;

(b) You understand that AI models are provided by third parties, produce non-deterministic outputs, and may generate inaccurate, biased, offensive, or harmful content;

(c) You accept responsibility for configuring your Agent's behavior, including its personality, instructions, safety guardrails, and connected channels;

(d) You understand that Clawhost provides deployment infrastructure and does not control, moderate, or supervise Agent output;

(e) You have reviewed the relevant terms of service and acceptable use policies of any third-party messaging platforms to which you intend to connect your Agent;

(f) You understand the regulatory obligations that may apply to operating an AI assistant in your jurisdiction, including but not limited to obligations under data protection laws and AI-specific regulations;

(g) If you are deploying an Agent for business or professional use, you have sought appropriate professional advice regarding your legal obligations.

Clawhost provides documentation, onboarding guidance, and default configurations to assist you in using the Service responsibly. However, these resources are informational only and do not constitute legal, regulatory, or professional advice. The availability of simplified interfaces does not diminish your responsibility as the Agent operator.

1.6 Amendments

We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes via email to the address associated with your account or through a prominent notice on the Service. Your continued use of the Service after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Service before they take effect.


2. Description of the Service

2.1 Overview

Clawhost is a managed hosting platform that enables users to deploy, configure, and operate AI-powered conversational assistants ("Agents") on cloud infrastructure managed by Clawhost. The Service includes:

(a) A web-based dashboard for agent creation, configuration, deployment, monitoring, and management;

(b) Managed cloud infrastructure for running Agents on dedicated virtual servers;

(c) Integration with third-party messaging channels (including, but not limited to, WhatsApp, Telegram, Discord, Slack, Signal, and web chat);

(d) Integration with third-party large language model ("LLM") providers via an intermediary API routing service;

(e) Encrypted vault storage for API keys, tokens, and other sensitive credentials;

(f) A credit-based usage metering system for AI model consumption;

(g) Subscription management, billing, and payment processing via third-party payment processors.

2.2 Nature of the Service — Scope of Clawhost's Role

You expressly acknowledge and agree that Clawhost is an infrastructure automation and hosting service. The Service automates the deployment, configuration, and management of third-party open-source software (OpenClaw) on third-party cloud infrastructure. Clawhost selects, assembles, and integrates third-party components into a managed deployment pipeline, and exercises a duty of care over that pipeline — specifically, the provisioning workflow, dashboard application, vault encryption, and deployment lifecycle management. Clawhost's duty of care is limited to the components it directly develops and operates (the dashboard, the deployment automation, and the vault system). Beyond that scope:

(a) Agent Software. Agents run on OpenClaw, an open-source project developed and maintained by third parties. While Clawhost selects OpenClaw as the default agent runtime and uses commercially reasonable efforts to deploy stable, reasonably current versions, Clawhost is not the developer or publisher of OpenClaw. Clawhost does not audit the OpenClaw codebase for security vulnerabilities or functional correctness, and makes no representations or warranties regarding its fitness for any particular purpose.

(b) AI Models. AI model inference is performed by third-party providers (such as Anthropic, OpenAI, Google, and others) accessed through a third-party API routing service. Clawhost makes these models available for your selection but does not select models on your behalf, curate or filter model outputs, moderate Agent responses, or influence AI model behavior in any way. The choice of model and all responsibility for model output rests entirely with you.

(c) Messaging Platforms. Agent connectivity to WhatsApp, Telegram, Discord, Slack, and other channels depends on credentials and APIs provided and controlled by the respective third-party platforms. Clawhost passes your configuration to the Agent software but does not operate, moderate, or control any messaging channel.

(d) Infrastructure. Agent containers run on virtual servers provided by third-party infrastructure providers. Clawhost automates the provisioning, configuration, and lifecycle management of these servers but does not own or operate the underlying physical or virtual infrastructure. Clawhost selects infrastructure providers using commercially reasonable criteria (including EU data residency and reputable hosting), but the availability, security, and performance of the underlying infrastructure is governed by the respective provider's terms.

(e) You are the operator of your Agent. You define the Agent's identity, personality, instructions, behavior, connected channels, and model selection. You are solely and exclusively responsible for everything your Agent does, says, or fails to do, including all interactions with end users. Clawhost's role ends at delivering a functioning deployment based on your configuration; the behavior of that deployment is determined by your choices.

2.3 No Guarantee of AI Output

The Service facilitates access to AI models provided by third parties. Clawhost does not develop, train, control, or guarantee the behavior, accuracy, safety, or output of any AI model. AI-generated content may be inaccurate, biased, incomplete, or inappropriate. You are solely responsible for reviewing, validating, and supervising all output generated by your Agents.

2.4 Service Availability

The Service is provided on an "as available" basis. While we use commercially reasonable efforts to maintain high availability, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, force majeure events, and infrastructure failures may cause temporary service disruptions. We will use reasonable efforts to provide advance notice of planned maintenance.


3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You may register using email and password, or through supported third-party authentication providers (Google, GitHub). You agree to keep your account information current and accurate at all times.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including passwords and two-factor authentication ("2FA") codes. You agree to:

(a) Use a strong, unique password;

(b) Enable 2FA when available;

(c) Not share your account credentials with any third party;

(d) Notify Clawhost immediately of any unauthorized access to or use of your account.

3.3 Account Responsibility

You are responsible for all activities that occur under your account, whether or not authorized by you. Clawhost shall not be liable for any loss or damage arising from unauthorized use of your account where you have failed to maintain adequate security of your credentials.

3.4 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent limits, abuse trials, or evade bans is grounds for immediate termination of all associated accounts.


4. Subscriptions, Billing, and Payment

4.1 Subscription Plans

The Service is offered on a subscription basis. Current plans, pricing, and included resources are published on our website and dashboard. Clawhost reserves the right to modify pricing with thirty (30) days' advance notice. Price changes will take effect at the start of the next billing cycle following the notice period.

4.2 Billing Currency and Cycle

All subscription fees are denominated in Euros (EUR). Subscriptions are billed either monthly or annually, as selected by you at the time of subscription. Annual subscriptions are billed in advance for the full year.

4.3 Seat-Based Pricing

Each subscription includes one or more "Seats," each representing the capacity to deploy and operate one Agent. Seats may be reassigned between Agents. Additional Seats may be added at any time and will be billed on a prorated basis for the remainder of the current billing cycle.

4.4 Compute Boosts

Additional compute resources ("Boosts") may be purchased as add-ons to individual Agent Seats. Boosts increase the CPU and memory allocated to an Agent. Boosts are billed monthly or annually, in alignment with the associated Seat's billing cycle. A maximum number of Boosts per Agent may apply, as specified in the dashboard.

4.5 Credits and AI Model Usage

(a) Credit System. AI model usage is metered through a credit-based system. Each subscription includes a base credit allocation per billing period. Credits are consumed when your Agents interact with AI models, with consumption rates varying by model tier (as published on the dashboard).

(b) Auto-Topup. When your credit balance falls below a threshold, additional credits may be automatically purchased and charged to your payment method on file. The increment amount and monthly spending cap are configurable in your account settings. By using the Service with auto-topup enabled, you authorize Clawhost to charge your payment method for additional credits up to your configured monthly cap.

(c) Monthly Spending Cap. Each account has a configurable monthly spending cap for auto-topup charges. A default spending cap is applied to all new accounts. You may adjust this cap at any time through the dashboard. Once the cap is reached, no further credits will be purchased, and your Agents' AI model access will be suspended until the next billing period or until you increase your cap. Clawhost is not liable for service interruptions caused by credit exhaustion. It is your responsibility to review and configure a spending cap appropriate to your budget before deploying an Agent.

(d) Spending Visibility. Clawhost provides real-time credit usage information through the dashboard. Clawhost will use commercially reasonable efforts to provide notifications when your credit consumption approaches your spending cap. However, due to the nature of real-time usage metering and third-party API latency, there may be a delay between actual consumption and dashboard/notification updates. Clawhost shall not be liable for charges incurred during such delays, provided the charges do not exceed your configured spending cap.

(e) No Rollover. Unused credits from the base allocation do not roll over to the next billing period. Purchased add-on credits are treated as recurring monthly allocations.

(f) Third-Party Pricing Changes. Credit consumption rates are based on pricing from third-party AI model providers, which may change without notice from those providers. Clawhost will use commercially reasonable efforts to update the dashboard to reflect material pricing changes from upstream providers in a timely manner and, where feasible, to notify affected users of significant price increases. However, Clawhost does not guarantee advance notice of third-party pricing changes, and you remain responsible for monitoring your spending regardless of any notifications provided.

4.6 Payment Method

You must provide a valid payment method (credit card or other supported method) to deploy Agents. Payment is processed through Stripe, Inc. ("Stripe"), our third-party payment processor. By providing payment information, you authorize Clawhost and Stripe to charge your payment method for all fees incurred under your account. You agree to Stripe's Terms of Service as they relate to payment processing.

4.7 Failed Payments

If a payment fails, we will attempt to charge your payment method again in accordance with Stripe's retry policies. If payment remains unsuccessful, your subscription may be suspended, and your Agents may be stopped. You remain liable for all accrued charges.

4.8 Taxes

All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for all applicable taxes, duties, and levies imposed by any governmental authority, except for taxes based on Clawhost's net income.

4.9 Volume Discounts

Volume discounts may be available for accounts with multiple Seats, as published on our pricing page. Discounts are applied automatically and are subject to change with thirty (30) days' notice.


5. Free Trial

5.1 Trial Eligibility

Clawhost may offer a free trial period to new users at its sole discretion. Trial availability, duration, and included resources are as published on the website at the time of registration. Clawhost reserves the right to modify or discontinue trial offerings at any time.

5.2 Trial Limitations

During the trial period:

(a) You are limited to one (1) Agent;

(b) You receive one (1) Seat with base compute resources;

(c) All messaging channels and AI models are available;

(d) A valid payment method must be provided before deploying an Agent; however, no charges will be incurred during the trial period unless you explicitly subscribe to a paid plan.

5.3 Trial Expiration

Upon trial expiration:

(a) Your Agent will be automatically stopped and its server decommissioned;

(b) You will be notified via email prior to and upon expiration;

(c) Your data (agent configuration, vault secrets, workspace files, and deployment logs) will be retained for thirty (30) calendar days following trial expiration;

(d) If you do not subscribe to a paid plan within thirty (30) days of trial expiration, your data will be permanently and irrecoverably deleted from primary storage. Deletion from backups may take up to ninety (90) days in accordance with Section 8.8;

(e) Subscribing to a paid plan during or after the trial (within the retention period) will preserve your data and resume your Agent.

5.4 Trial Data Processing

If your Agent processes personal data of end users during the trial period, all data controller obligations under Section 15.3 apply to you during the trial, and the Data Processing Agreement referenced in Section 8.9 applies. You are responsible for ensuring that your trial use complies with applicable data protection laws, including having appropriate legal bases for processing. Upon trial expiration, any end-user data stored on your Agent's server will be deleted when the server is decommissioned. Clawhost does not retain or have access to conversation data stored on Agent servers.

5.5 Trial Abuse

Creating multiple accounts to obtain additional free trials, or any other abuse of the trial program, will result in immediate termination of all associated accounts and forfeiture of all data.


6. Refunds and Cancellation

6.1 Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal accessible via the dashboard. Upon cancellation:

(a) Your subscription will remain active until the end of the current paid billing period;

(b) Your Agents will continue to run until the end of the current billing period, after which they will be stopped;

(c) No further charges will be incurred after cancellation takes effect, except for any outstanding auto-topup charges incurred prior to cancellation.

6.2 Refund Policy

Refunds are handled on a case-by-case basis at Clawhost's sole discretion. To request a refund, contact support at support@clawhost.com. Factors considered include, but are not limited to:

(a) The nature and timing of the refund request;

(b) The extent to which the Service was used during the period in question;

(c) Whether a service disruption or error attributable to Clawhost occurred;

(d) Applicable consumer protection laws in your jurisdiction.

Annual subscriptions: If you cancel an annual subscription, you may be eligible for a prorated refund for remaining full months, minus any applicable discounts that were applied to the annual rate, at our discretion.

6.3 EU Consumer Rights

If you are a consumer residing in the European Union, you may have a right of withdrawal under Directive 2011/83/EU. By deploying an Agent or otherwise using the Service during the withdrawal period, you expressly consent to the commencement of service delivery and acknowledge that you may thereby lose your right of withdrawal to the extent the service has been provided.

6.4 Payment Disputes

We encourage you to contact our support team at support@clawhost.com before initiating a payment dispute with your bank or payment provider, so that we can attempt to resolve the issue directly and promptly. If a chargeback or payment dispute is initiated, we may need to suspend your account and associated Agents pending resolution, as ongoing service delivery during an active payment dispute may not be commercially feasible. Upon resolution of the dispute, service will be restored if appropriate. Repeated or fraudulent payment disputes may result in account termination.


7. User Content and Intellectual Property

7.1 Your Content

"User Content" means all data, text, files, configurations, images, agent personality definitions (workspace files), custom skills, and other materials that you upload, create, or transmit through the Service. You retain all rights, title, and interest in your User Content.

7.2 License to Clawhost

By uploading User Content, you grant Clawhost a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, encrypt, decrypt (for service delivery only), and display (to you) your User Content solely as necessary to provide the Service. This license terminates when you delete your User Content or close your account, except as required for backup, archival, or legal compliance purposes.

7.3 User Content Representations

You represent and warrant that:

(a) You own or have all necessary rights, licenses, and permissions to use and authorize Clawhost to use your User Content as described in these Terms;

(b) Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or other proprietary rights;

(c) Your User Content does not violate any applicable law, regulation, or these Terms;

(d) Your User Content does not contain malicious code, viruses, or any material designed to disrupt or damage the Service or third-party systems.

7.4 Agent-Generated Content

Content generated by your Agents in response to user messages ("Agent Output") is generated by third-party AI models, not by Clawhost. Clawhost makes no claim of ownership over Agent Output. You are solely responsible for all Agent Output, including its accuracy, legality, and compliance with applicable laws and third-party terms of service. To the extent permitted by law, you shall indemnify Clawhost against any claims arising from Agent Output.

7.5 Clawhost Intellectual Property

The Service, including its software, design, trademarks, documentation, and all underlying technology, is the exclusive property of Clawhost or its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms. You shall not:

(a) Copy, modify, distribute, sell, or lease any part of the Service;

(b) Reverse engineer, decompile, or disassemble the Service;

(c) Remove, alter, or obscure any proprietary notices;

(d) Use Clawhost's name, logo, or trademarks without prior written consent.

7.6 Feedback

If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant Clawhost a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.


8. Data Protection and Privacy

8.1 Privacy Policy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.2 Data Processing Location

Your account data, agent configurations, and encrypted vault secrets are stored on servers located within the European Union (Germany). Agent deployment infrastructure is also located within the European Union unless otherwise specified.

8.3 Encryption and Vault

(a) Encryption at Rest. Sensitive credentials (API keys, bot tokens, SSH keys, and other secrets) stored in the vault are encrypted using industry-standard encryption before being written to the database. Clawhost stores only ciphertext, initialization vectors, and authentication tags.

(b) Server-Side Decryption. Vault secrets are decrypted only on Clawhost's servers for the purpose of configuring and deploying your Agents. Decryption never occurs in the browser or client-side.

(c) Access Control. Only you (authenticated via your account session) may create, read, update, or delete your vault secrets through the Service.

(d) No Plaintext Logging. Clawhost does not intentionally log, cache, or transmit plaintext secrets. Decrypted values are held in memory only for the duration necessary to complete the specific operation (e.g., deployment provisioning).

(e) No Security Guarantee. While Clawhost employs commercially reasonable security measures, no system is perfectly secure. Clawhost does not warrant or guarantee that the Service, the vault, the infrastructure, or any data transmitted to or stored by the Service will be free from unauthorized access, interception, corruption, loss, or destruction. You acknowledge that providing data to any internet-connected service involves inherent risks, including but not limited to data breaches, zero-day vulnerabilities, supply chain attacks, and unauthorized access by third parties. Clawhost shall not be liable for any data breach, security incident, or unauthorized access except to the extent directly caused by Clawhost's gross negligence or willful misconduct.

(f) Shared Responsibility. Security of your Agent deployment is a shared responsibility. The following matrix defines the division of responsibility:

This matrix is provided for clarity and does not expand or limit the obligations set forth elsewhere in these Terms. In the event of a conflict between this matrix and the specific provisions of these Terms, the specific provisions shall control.

8.4 Conversation Data and Abuse Monitoring

(a) Conversation Privacy. Messages exchanged between end users and your Agents are processed on the Agent's dedicated server. In the ordinary course of service delivery, Clawhost does not access, store, or analyze the content of conversations between end users and your Agents. You are solely responsible for informing end users of your data practices and obtaining any required consent.

(b) Right to Monitor. Notwithstanding the foregoing, Clawhost reserves the right (but not the obligation) to monitor, inspect, or analyze Agent activity, including metadata, usage patterns, resource consumption, and, where necessary to investigate a credible report of abuse or violation of these Terms, conversation content. Such monitoring may occur without prior notice where Clawhost reasonably believes it is necessary to (i) comply with applicable law or legal process, (ii) investigate a violation of these Terms or the Acceptable Use Policy, (iii) protect the safety of any person, (iv) prevent fraud or abuse, or (v) protect the rights, property, or security of Clawhost, its users, or third parties.

(c) Safe Harbor for Enforcement Actions. Clawhost shall not be liable for any loss or damage arising from actions taken in good faith under this Section 8.4(b), including Agent suspension, account termination, or disclosure to law enforcement.

8.5 Security Incident Notification

(a) Clawhost's Notification Obligation. If Clawhost becomes aware of a security incident that has resulted in unauthorized access to, or unauthorized disclosure of, your account data, vault secrets, or agent configurations held within Clawhost's systems (a "Security Incident"), Clawhost will notify you via the email address associated with your account without undue delay, and in any event within seventy-two (72) hours of becoming aware of the incident, to the extent that such notification does not compromise an ongoing investigation or violate applicable law. The notification will include, to the extent known: (i) the nature of the incident, (ii) the categories of data potentially affected, (iii) the measures taken or proposed to address the incident, and (iv) recommended steps you should take to protect yourself (such as rotating API keys or credentials).

(b) Your Notification Obligation. If you become aware of any security incident affecting your account, Agent, or credentials (including but not limited to compromised API keys, unauthorized access to your Agent server, or suspicious Agent behavior), you must notify Clawhost promptly at support@clawhost.com. You are responsible for immediately rotating any compromised credentials stored in the vault.

(c) Scope of Obligation. Clawhost's notification obligation under Section 8.5(a) applies only to incidents within Clawhost's own systems (the dashboard, deployment pipeline, vault database, and account infrastructure). Clawhost has no obligation to detect or notify you of security incidents occurring at the third-party infrastructure provider level, within the OpenClaw runtime, or on your Agent's dedicated server, as Clawhost does not monitor those environments in real time. However, if Clawhost becomes aware of such incidents through any means, Clawhost will use commercially reasonable efforts to notify affected users promptly.

(d) Coordinated Response. In the event of a Security Incident, both parties agree to cooperate in good faith to mitigate the impact, including by sharing relevant information, coordinating public communications where appropriate, and supporting any regulatory notifications required under applicable data protection laws.

8.6 Usage Metrics

Clawhost collects aggregated, non-content usage metrics (token counts, model identifiers, request timestamps, and provider costs) for billing, capacity planning, and service improvement. These metrics do not include message content or personally identifiable information of your end users.

8.7 Data Portability

You may export your agent configurations, workspace files, and vault secret metadata through the Service dashboard or API. Conversation data stored on Agent servers is under your control and may be accessed via SSH (if enabled) or other means provided by the Service.

8.8 Data Deletion

Upon account closure or at your request, Clawhost will delete your personal data, agent configurations, vault secrets, and deployment data within thirty (30) days, except where retention is required by applicable law or for legitimate business purposes (e.g., billing records, fraud prevention). Deletion of data from backups may take up to ninety (90) days.

8.9 Data Processing Agreement

If you process personal data of end users through your Agent within the European Economic Area, a Data Processing Agreement ("DPA") governs the relationship between you (as data controller) and Clawhost (as data processor) for the limited processing activities described in Section 15.3. Our standard DPA is available at https://clawhost.com/legal/dpa and is incorporated into these Terms by reference for all users who deploy Agents that process personal data of individuals within the EEA. 9. Third-Party Services

9.1 Third-Party Dependencies

The Service relies on and integrates with third-party services, including but not limited to:

(a) AI Model Providers (accessed via OpenRouter) — for generating Agent responses;

(b) Stripe — for payment processing and subscription management;

(c) Hetzner Cloud — for cloud server infrastructure;

(d) Cloudflare — for DNS, DDoS protection, and TLS termination;

(e) Messaging Platforms (WhatsApp, Telegram, Discord, Slack, Signal, Google Chat, Microsoft Teams, LINE, Mattermost) — for Agent-to-user communication.

9.2 Third-Party Terms

Your use of the Service may be subject to the terms, conditions, and policies of these third-party providers. It is your responsibility to review and comply with all applicable third-party terms. Without limiting the generality of the foregoing:

(a) You must comply with each messaging platform's terms of service, bot policies, and acceptable use policies when connecting your Agent to that platform;

(b) You must comply with the acceptable use policies of AI model providers whose models your Agent uses;

(c) Payment processing is subject to Stripe's Terms of Service and Privacy Policy.

9.3 No Liability for Third Parties

Clawhost is not responsible for the availability, performance, accuracy, policies, or practices of any third-party service. Changes to third-party services (including pricing changes, feature deprecations, API modifications, or service terminations) may affect the availability or functionality of the Service. Clawhost shall not be liable for any loss or damage arising from such changes.

9.4 Channel Credentials

You are solely responsible for obtaining, maintaining, and securing the API keys, bot tokens, and credentials required to connect your Agent to third-party messaging platforms. Clawhost does not provide, procure, or manage these credentials on your behalf. If a third-party platform revokes or suspends your credentials, Clawhost is not liable for the resulting loss of Agent functionality.


10. Service Level and Support

10.1 Service Level

The Service is provided on an "as-is" and "as-available" basis. While Clawhost targets high availability, no specific uptime percentage or service level agreement (SLA) is included with standard subscription plans. Enterprise customers may negotiate separate SLAs.

10.2 Maintenance

Clawhost may perform scheduled and emergency maintenance that may temporarily affect Service availability. We will use reasonable efforts to provide advance notice of scheduled maintenance via email or dashboard notification.

10.3 Support

Support is provided via email at support@clawhost.com. Clawhost will use commercially reasonable efforts to respond to support requests in a timely manner. Response times may vary based on the nature and severity of the issue and the support tier associated with your subscription plan.

10.4 Updates and Changes

Clawhost may update, modify, or discontinue features of the Service at any time. We will use reasonable efforts to provide advance notice of material changes. Continued use of the Service after changes constitutes acceptance.


11. Limitation of Liability

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLAWHOST, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;

(b) LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS;

(c) COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;

(d) LOSS OR DAMAGE TO REPUTATION OR BRAND;

(e) DAMAGES ARISING FROM OR RELATED TO:

(i) YOUR USE OF OR INABILITY TO USE THE SERVICE;

(ii) ANY AGENT OUTPUT OR AI-GENERATED CONTENT, INCLUDING BUT NOT LIMITED TO INACCURATE, MISLEADING, OFFENSIVE, DEFAMATORY, OR ILLEGAL CONTENT GENERATED BY AI MODELS;

(iii) UNAUTHORIZED ACCESS TO, ALTERATION OF, LOSS OF, OR DESTRUCTION OF YOUR DATA, TRANSMISSIONS, VAULT SECRETS, OR AGENT CONFIGURATIONS;

(iv) ACTIONS, OMISSIONS, OUTAGES, SECURITY BREACHES, PRICING CHANGES, API MODIFICATIONS, OR DISCONTINUATIONS BY THIRD-PARTY SERVICE PROVIDERS (INCLUDING BUT NOT LIMITED TO AI MODEL PROVIDERS, INFRASTRUCTURE PROVIDERS, PAYMENT PROCESSORS, AND MESSAGING PLATFORMS);

(v) BUGS, VULNERABILITIES, SECURITY FLAWS, OR DEFECTS IN OPENCLAW OR ANY OTHER THIRD-PARTY OPEN-SOURCE SOFTWARE DEPLOYED THROUGH THE SERVICE;

(vi) ANY ACTIONS TAKEN BY OR AGAINST YOUR AGENT BY THIRD-PARTY MESSAGING PLATFORMS, INCLUDING ACCOUNT SUSPENSIONS, BANS, OR CREDENTIAL REVOCATIONS;

(vii) CLAIMS BY END USERS OR THIRD PARTIES ARISING FROM INTERACTIONS WITH YOUR AGENTS;

(viii) REGULATORY FINES, PENALTIES, OR ENFORCEMENT ACTIONS ARISING FROM YOUR USE OF THE SERVICE OR YOUR AGENT'S BEHAVIOR;

(ix) ANY OTHER MATTER RELATING TO THE SERVICE;

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, PRODUCT LIABILITY, OR OTHERWISE), EVEN IF CLAWHOST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Aggregate Cap

CLAWHOST'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS, FOR ALL CLAIMS COMBINED, SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO CLAWHOST DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE TRIAL USERS WHO HAVE NOT MADE ANY PAYMENT, THE AGGREGATE LIABILITY CAP SHALL BE FIFTY EUROS (EUR 50). THIS CAP REFLECTS THE NATURE OF THE SERVICE AS AN INFRASTRUCTURE AUTOMATION PLATFORM WITH LIMITED CONTROL OVER THIRD-PARTY COMPONENTS, AND THE PRICING OF THE SERVICE HAS BEEN SET ACCORDINGLY.

11.3 Essential Purpose

THE LIMITATIONS IN THIS SECTION 11 SHALL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. YOU ACKNOWLEDGE THAT CLAWHOST HAS SET ITS PRICES AND ENTERED INTO THESE TERMS IN RELIANCE UPON THE LIMITATIONS OF LIABILITY AND THE DISCLAIMERS OF WARRANTIES AND DAMAGES SET FORTH HEREIN, AND THAT THE SAME FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

11.4 Specific Exclusions of Liability

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, CLAWHOST SHALL HAVE NO LIABILITY WHATSOEVER FOR:

(a) THE BEHAVIOR, OUTPUT, OR ACTIONS OF YOUR AGENTS, WHICH ARE CONFIGURED AND CONTROLLED EXCLUSIVELY BY YOU;

(b) ANY DATA BREACH, SECURITY INCIDENT, OR UNAUTHORIZED ACCESS OCCURRING AT THE THIRD-PARTY INFRASTRUCTURE PROVIDER LEVEL;

(c) ANY LOSS RESULTING FROM YOUR FAILURE TO MAINTAIN ADEQUATE BACKUPS OF YOUR DATA, CONFIGURATIONS, OR CREDENTIALS;

(d) ANY LOSS RESULTING FROM THE DEPRECATION, MODIFICATION, OR DISCONTINUATION OF THIRD-PARTY APIS, SERVICES, OR SOFTWARE (INCLUDING OPENCLAW);

(e) ANY CLAIMS ARISING FROM YOUR AGENT'S INTERACTIONS WITH END USERS, INCLUDING CLAIMS OF DEFAMATION, NEGLIGENCE, PRIVACY VIOLATIONS, OR MISLEADING CONDUCT;

(f) ANY LOSS ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT FOR ANY PURPOSE, INCLUDING BUSINESS, MEDICAL, LEGAL, FINANCIAL, OR PERSONAL DECISIONS.

11.5 Statutory Rights

Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law, including liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded under mandatory consumer protection laws applicable in your jurisdiction.


12. Indemnification

12.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Clawhost, its directors, officers, employees, agents, affiliates, and licensors (the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and costs of litigation) arising out of or related to:

(a) Your use of the Service, including any use by persons who access the Service through your account;

(b) Your User Content, including agent configurations, personality definitions, workspace files, and custom skills;

(c) Agent Output generated by your Agents, including claims of defamation, negligence, privacy violation, intellectual property infringement, or consumer harm;

(d) Your violation of these Terms, including the Acceptable Use Policy;

(e) Your violation of any applicable law, regulation, or third-party right (including intellectual property, privacy, data protection, consumer protection, and messaging platform terms of service);

(f) Any claim by a third party (including end users of your Agents, messaging platform operators, or regulatory authorities) arising from interactions with your Agents or your use of the Service;

(g) Your failure to obtain necessary consents, licenses, or authorizations, including but not limited to consent from end users for data processing;

(h) Any regulatory investigation, fine, penalty, or enforcement action arising from your Agent's behavior or your data processing practices;

(i) Any data breach or security incident attributable to your account credentials, vault secrets, API keys, or agent configurations;

(j) Any claim that your Agent constitutes the unauthorized practice of a regulated profession (e.g., medicine, law, financial advice).

12.2 Indemnification Process

Clawhost will (a) promptly notify you of any claim subject to indemnification, (b) provide reasonable cooperation at your expense, and (c) allow you to control the defense and settlement, provided you do not settle any claim in a manner that imposes obligations on Clawhost without our prior written consent. Clawhost reserves the right to assume exclusive defense and control of any matter subject to indemnification at your expense if you fail to promptly assume defense after notice.

12.3 Clawhost's Indemnification Obligations

Clawhost agrees to indemnify, defend, and hold harmless you from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising directly from:

(a) A verified breach of Clawhost's own deployment pipeline, dashboard application, or vault encryption system caused by Clawhost's gross negligence or willful misconduct;

(b) Clawhost's material breach of its obligations under the Data Processing Agreement referenced in Section 8.9, to the extent such breach is attributable to Clawhost's acts or omissions (and not to third-party infrastructure providers, open-source software, or your configuration);

(c) Clawhost's failure to provide security incident notification in accordance with Section 8.5(a), where such failure materially prevented you from mitigating the impact of the incident.

Clawhost's aggregate liability under this Section 12.3 is subject to the liability cap set forth in Section 11.2. This indemnification does not extend to claims arising from third-party components (including OpenClaw, AI model providers, infrastructure providers, or messaging platforms), your Agent's behavior or output, or your breach of these Terms.

12.4 Assumption of Risk

You expressly acknowledge and assume the following risks inherent in the use of the Service:

(a) AI Behavior Risk. AI models may produce inaccurate, biased, offensive, misleading, defamatory, or illegal content without warning. AI behavior is inherently non-deterministic and cannot be fully predicted or controlled. No system prompt, instruction set, or configuration can guarantee that an AI model will behave as intended in all circumstances.

(b) Prompt Injection and Adversarial Input Risk. End users or malicious third parties may craft inputs ("prompt injections") designed to override your Agent's instructions, cause it to reveal its system prompt or configuration, generate harmful or unauthorized content, or behave in ways you did not intend. Prompt injection is a known and currently unsolved challenge in AI systems. No technical measure can fully prevent it. You are responsible for designing your Agent's instructions with this risk in mind, minimizing the sensitive information included in system prompts, and implementing monitoring to detect anomalous behavior. Clawhost does not warrant that any platform safety measures will prevent prompt injection attacks.

(c) Agent Misuse Risk. Your Agent may be exploited by malicious actors as a relay for social engineering, phishing, spam, or other harmful communications directed at your end users. Messages sent by your Agent will appear to originate from your connected channels (e.g., your business WhatsApp number or Telegram bot), and end users may trust these messages as coming from you. You are responsible for monitoring your Agent's interactions and implementing safeguards to detect and prevent misuse.

(d) Security Risk. No internet-connected system is completely secure. Data breaches, unauthorized access, and security vulnerabilities may occur despite commercially reasonable precautions. Credentials stored in the vault, while encrypted, could be compromised through vulnerabilities in the deployment pipeline, infrastructure provider, or container runtime.

(e) Third-Party Risk. The Service depends on numerous third-party providers, any of which may experience outages, change pricing, modify APIs, discontinue services, or suffer security breaches.

(f) Open-Source Risk. The Agent software (OpenClaw) is open-source and may contain undiscovered bugs, vulnerabilities, or security flaws that could affect the security, stability, or behavior of your Agent.

(g) Regulatory Risk. The legal and regulatory landscape for AI-powered assistants is rapidly evolving. You are solely responsible for monitoring and complying with all applicable laws and regulations in every jurisdiction where your Agent operates or where your end users are located.

(h) Platform Risk. Third-party messaging platforms may change their bot policies, terms of service, or API access at any time, potentially rendering your Agent inoperable on those platforms. Connecting your Agent to a channel using your primary business phone number or account carries the risk of that number or account being permanently suspended by the platform. Clawhost recommends using dedicated numbers or accounts for Agent channels where possible.

(i) Financial Risk. AI model usage incurs variable costs. Model pricing changes, unexpected usage spikes, or auto-topup behavior may result in charges that exceed your expectations. You are solely responsible for configuring appropriate spending caps and monitoring your spending through the dashboard.


13. Disclaimers

13.1 As-Is Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, SECURITY, OR UNINTERRUPTED AVAILABILITY.

13.2 Open-Source Software Disclaimer

THE AGENT SOFTWARE (OPENCLAW) DEPLOYED THROUGH THE SERVICE IS OPEN-SOURCE SOFTWARE DEVELOPED AND MAINTAINED BY THIRD PARTIES. CLAWHOST SELECTS OPENCLAW AS THE AGENT RUNTIME USING COMMERCIALLY REASONABLE JUDGMENT AND USES REASONABLE EFFORTS TO DEPLOY STABLE, REASONABLY CURRENT VERSIONS. HOWEVER, CLAWHOST DOES NOT AUTHOR OR INDEPENDENTLY AUDIT THE OPENCLAW CODEBASE FOR SECURITY VULNERABILITIES OR FUNCTIONAL CORRECTNESS. SUBJECT TO THE FOREGOING REASONABLE EFFORTS, CLAWHOST SPECIFICALLY DISCLAIMS ALL WARRANTIES REGARDING:

(a) THE FUNCTIONALITY, RELIABILITY, SECURITY, OR PERFORMANCE OF OPENCLAW BEYOND WHAT IS WITHIN CLAWHOST'S DIRECT CONTROL;

(b) THE ABSENCE OF BUGS, VULNERABILITIES, OR DEFECTS IN OPENCLAW OR ITS THIRD-PARTY DEPENDENCIES;

(c) THE SUITABILITY OF OPENCLAW FOR ANY PARTICULAR PURPOSE OR USE CASE;

(d) THE CONTINUED AVAILABILITY, COMPATIBILITY, OR MAINTENANCE OF OPENCLAW BY ITS UPSTREAM DEVELOPERS;

(e) ANY DAMAGES ARISING FROM VULNERABILITIES, EXPLOITS, OR SECURITY FLAWS IN OPENCLAW OR ITS DEPENDENCIES THAT WERE NOT KNOWN TO CLAWHOST AT THE TIME OF DEPLOYMENT.

YOU ACKNOWLEDGE THAT OPENCLAW IS PROVIDED UNDER ITS OWN OPEN-SOURCE LICENSE AND THAT YOUR USE OF OPENCLAW THROUGH THE SERVICE IS ADDITIONALLY SUBJECT TO THAT LICENSE'S TERMS AND DISCLAIMERS. CLAWHOST'S OBLIGATION IS LIMITED TO USING COMMERCIALLY REASONABLE EFFORTS TO KEEP DEPLOYED VERSIONS REASONABLY CURRENT AND TO RESPOND TO KNOWN CRITICAL SECURITY VULNERABILITIES IN A TIMELY MANNER.

13.3 AI Model Disclaimers

WITHOUT LIMITING THE FOREGOING, CLAWHOST SPECIFICALLY DISCLAIMS ANY WARRANTY OR REPRESENTATION THAT:

(a) AI model outputs will be accurate, complete, reliable, current, safe, or error-free;

(b) AI models will not produce biased, offensive, misleading, harmful, or illegal content;

(c) AI models will be available continuously or at any specific performance level;

(d) AI model outputs will be suitable for any particular purpose, including but not limited to medical, legal, financial, or safety-critical applications;

(e) AI model providers will maintain current pricing, availability, or API compatibility;

(f) AI model safety filters or content moderation will function as expected or at all.

13.4 Infrastructure and Security Disclaimers

CLAWHOST SPECIFICALLY DISCLAIMS ANY WARRANTY OR REPRESENTATION THAT:

(a) THE SERVICE, THE DEPLOYED AGENTS, OR THE UNDERLYING INFRASTRUCTURE WILL BE SECURE, UNINTERRUPTED, OR FREE FROM UNAUTHORIZED ACCESS;

(b) DATA TRANSMITTED TO, FROM, OR STORED BY THE SERVICE WILL NOT BE INTERCEPTED, COMPROMISED, LOST, OR DESTROYED;

(c) THE THIRD-PARTY INFRASTRUCTURE PROVIDERS (INCLUDING HETZNER CLOUD, CLOUDFLARE, AND STRIPE) WILL PERFORM RELIABLY OR IN ACCORDANCE WITH ANY PARTICULAR STANDARD;

(d) THE SERVICE WILL BE COMPATIBLE WITH YOUR SPECIFIC REQUIREMENTS, COMPLIANCE OBLIGATIONS, OR REGULATORY FRAMEWORKS;

(e) THE SERVICE MEETS THE REQUIREMENTS OF ANY SPECIFIC SECURITY STANDARD, CERTIFICATION, OR COMPLIANCE FRAMEWORK (INCLUDING BUT NOT LIMITED TO SOC 2, ISO 27001, HIPAA, OR PCI DSS).

13.5 No Professional Advice

The Service and Agent Output do not constitute professional advice of any kind (including legal, medical, financial, or tax advice). You should not rely on Agent Output as a substitute for professional consultation.

13.6 Third-Party Content and Services

Clawhost does not endorse, verify, or assume responsibility for any content, products, or services provided by third parties, including AI model providers, messaging platforms, infrastructure providers, and other integrated services. The entire technology stack upon which your Agent operates — including the operating system, container runtime, application software, AI models, and messaging integrations — consists of third-party components over which Clawhost exercises no direct control. Clawhost's role is limited to automating the assembly, deployment, and lifecycle management of these components.

13.7 No Guarantee of Continuous Operation

CLAWHOST DOES NOT GUARANTEE THAT YOUR AGENT WILL REMAIN OPERATIONAL FOR ANY SPECIFIC PERIOD. YOUR AGENT MAY BE STOPPED, RESTARTED, OR BECOME UNAVAILABLE DUE TO (WITHOUT LIMITATION): INFRASTRUCTURE PROVIDER OUTAGES, THIRD-PARTY API CHANGES OR DISCONTINUATIONS, OPENCLAW SOFTWARE UPDATES OR INCOMPATIBILITIES, SECURITY INCIDENTS, RESOURCE EXHAUSTION, CREDIT DEPLETION, PAYMENT FAILURES, OR ACTIONS TAKEN BY MESSAGING PLATFORMS. CLAWHOST SHALL USE COMMERCIALLY REASONABLE EFFORTS TO RESTORE SERVICE BUT MAKES NO GUARANTEE REGARDING RESTORATION TIMEFRAMES.


14. Acceptable Use Policy

14.1 Prohibited Uses

You shall not use the Service, or permit your Agents to be used, to:

(a) Illegal Activity: Engage in, facilitate, or promote any activity that violates applicable law or regulation, including but not limited to fraud, money laundering, terrorism financing, or trafficking;

(b) Harmful Content: Generate, distribute, or facilitate the generation of content that promotes violence, terrorism, child exploitation, self-harm, or hate speech targeting protected characteristics;

(c) Spam and Abuse: Send unsolicited messages, spam, or bulk communications; abuse messaging platform APIs or rate limits; or engage in any form of automated mass outreach without explicit recipient consent;

(d) Impersonation: Misrepresent or impersonate any person, entity, or brand; create Agents that deceptively imitate real individuals or organizations without authorization; or fail to disclose that users are interacting with an AI;

(e) Deception: Engage in phishing, social engineering, or any scheme designed to obtain sensitive information through deception;

(f) Intellectual Property Infringement: Infringe upon any third party's copyright, trademark, patent, trade secret, or other intellectual property rights;

(g) Privacy Violations: Collect, store, or process personal data of end users without appropriate legal basis or required consent under applicable data protection laws (including GDPR);

(h) System Interference: Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or other users' accounts; introduce malicious code; or attempt to probe, scan, or test the vulnerability of the Service without authorization;

(i) AI Model Abuse: Attempt to jailbreak, circumvent safety filters, or extract training data from AI models; use the Service to develop competing AI models or services through systematic extraction;

(j) Resource Abuse: Intentionally consume excessive resources (compute, bandwidth, API calls) in a manner that degrades service quality for other users;

(k) Resale Without Authorization: Resell, sublicense, or redistribute the Service without Clawhost's prior written consent;

(l) High-Risk Applications: Use the Service for applications where failure could lead to death, personal injury, or significant property damage, including but not limited to autonomous vehicle control, medical device operation, weapons systems, or critical infrastructure management.

14.2 Enforcement

Clawhost reserves the right, but has no obligation, to monitor use of the Service for compliance with this Acceptable Use Policy. Upon discovering or receiving a report of a violation, Clawhost may, in its sole discretion and without prior notice:

(a) Issue a warning;

(b) Temporarily suspend your Agent(s) or account;

(c) Permanently terminate your account;

(d) Remove or disable access to offending content;

(e) Report the violation to law enforcement or relevant authorities.

14.3 Reporting Violations

If you become aware of any use of the Service that violates these Terms or applicable law, please report it to abuse@clawhost.com.


15. Your Responsibilities as Agent Operator

15.1 Operator Status

By deploying an Agent through the Service, you assume the role of operator of that Agent. As the operator, you — not Clawhost — bear full and exclusive responsibility for the Agent's behavior, output, interactions, and compliance with applicable laws.

15.2 End User Disclosure

You must clearly disclose to all end users interacting with your Agent that they are communicating with an AI-powered automated system, not a human. Failure to make this disclosure may violate consumer protection laws, messaging platform policies, and the EU AI Act (Regulation (EU) 2024/1689), and constitutes a breach of these Terms.

15.3 Data Controller Responsibilities

If your Agent collects, processes, or stores personal data of end users (including but not limited to names, phone numbers, email addresses, message content, or behavioral data), you are the sole data controller within the meaning of the GDPR and equivalent data protection laws. You determine the purposes and means of processing end-user data through your Agent configuration choices (including which channels to connect, what data to collect, how long to retain conversations, and what instructions to give the AI). As sole data controller, you are solely responsible for:

(a) Having a lawful basis for processing;

(b) Providing appropriate privacy notices to end users;

(c) Obtaining any required consents;

(d) Responding to data subject access requests;

(e) Reporting data breaches to supervisory authorities where required;

(f) Conducting data protection impact assessments where required;

(g) Ensuring adequate cross-border data transfer safeguards.

Clawhost acts as a data processor only to the extent it processes personal data on your behalf in the course of providing the Service. The specific processing activities performed by Clawhost as processor are:

(i) Storing encrypted vault secrets containing your channel credentials;

(ii) Transmitting your configuration (including any personal data you include in workspace files) to the Agent's server during deployment;

(iii) Collecting aggregated, non-content usage metrics for billing purposes;

(iv) Storing your account information (name, email) for authentication and service delivery.

Clawhost does not determine the purposes or means of any end-user data processing performed by your Agent. Clawhost does not access, store, or process the content of messages exchanged between your Agent and end users in the ordinary course of operations. The parties expressly agree that they are not joint controllers within the meaning of GDPR Article 26, as Clawhost does not jointly determine the purposes and means of processing end-user personal data.

15.4 Compliance with AI Regulations

You are solely responsible for complying with all applicable AI regulations in every jurisdiction where your Agent operates or where your end users are located, including but not limited to the EU AI Act (Regulation (EU) 2024/1689). This includes, without limitation:

(a) Classifying your Agent's risk level under applicable AI regulations;

(b) Implementing required transparency measures;

(c) Maintaining required documentation and records;

(d) Reporting to relevant supervisory authorities where required.

EU AI Act Roles. For the purposes of the EU AI Act: (i) you are the deployer of your Agent (Article 3(4)), as you deploy the AI system under your authority for your purposes; (ii) the AI model providers (Anthropic, OpenAI, Google, etc.) are the providers of the general-purpose AI models (Article 3(1)); and (iii) Clawhost is an infrastructure service provider that facilitates deployment but does not itself provide, develop, or place on the market an AI system. Clawhost does not modify the AI models, does not fine-tune or train models on your data, and does not determine the intended purpose of your Agent. To the extent that any regulatory authority determines that Clawhost bears obligations as a provider or deployer under the EU AI Act, you agree to cooperate with Clawhost in meeting those obligations, and to indemnify Clawhost for any regulatory penalties arising from your Agent's non-compliance.

15.5 Channel Compliance

You must comply with the terms of service, bot policies, developer agreements, and acceptable use policies of every messaging platform to which you connect your Agent. Clawhost has no obligation to verify your compliance and shall not be liable for any suspension, ban, or action taken against your Agent or accounts by messaging platforms.

15.6 Content Moderation

You are responsible for implementing appropriate content moderation, safety filters, and guardrails for your Agent. This includes configuring the Agent's instructions, personality, and behavior to prevent harmful, illegal, or inappropriate output.

15.7 Platform Safety Measures

Clawhost implements certain baseline safety measures as part of the Service, which may include (without limitation):

(a) Default agent configuration settings designed to promote safe and responsible use;

(b) Rate limiting and resource consumption controls at the infrastructure level;

(c) Automated anomaly detection on usage patterns (not on message content);

(d) The ability for Clawhost to suspend or terminate Agents that exhibit abusive patterns;

(e) Credit spending caps and auto-topup limits to prevent runaway costs.

These platform-level measures are provided as a supplementary safety layer and do not constitute a complete safety solution. They do not replace your obligation to configure your Agent responsibly, implement appropriate content moderation, and supervise your Agent's behavior. Clawhost may modify, enhance, or discontinue any safety measure at any time. The existence of platform safety measures does not create a duty to prevent any specific harm, nor does it create a warranty that such measures will be effective in all circumstances. You remain solely responsible for your Agent's behavior regardless of any platform-level safeguards.


16. Suspension and Termination

16.1 Termination by You

You may terminate your account at any time by cancelling your subscription and requesting account deletion through the dashboard or by contacting support. Upon termination:

(a) Your Agents will be stopped and their servers decommissioned;

(b) Your data will be deleted in accordance with Section 8.8;

(c) Any outstanding charges will remain due and payable;

(d) You will not receive a refund for any prepaid but unused subscription period unless required by applicable law or granted at Clawhost's discretion under Section 6.2.

16.2 Termination by Clawhost

Clawhost may terminate your account without cause upon thirty (30) days' written notice (email to your registered address). Additionally, Clawhost may immediately suspend or terminate your account without prior notice for cause, including if:

(a) You materially breach these Terms (including the Acceptable Use Policy);

(b) Your payment is overdue by more than fifteen (15) days;

(c) We are required to do so by law, regulation, or court order;

(d) Your use of the Service poses a security risk to the Service or other users;

(e) Your account shows indicators of fraud or abuse.

16.3 Effect of Termination

Upon termination:

(a) Your right to use the Service immediately ceases;

(b) All Agents will be stopped and servers decommissioned;

(c) We may delete your data in accordance with Section 8.8;

(d) Sections that by their nature should survive termination shall survive, including Sections 2.2 (Nature of the Service), 7 (Intellectual Property), 11 (Limitation of Liability), 12 (Indemnification and Assumption of Risk), 13 (Disclaimers), 15 (Your Responsibilities as Agent Operator), and 18 (Governing Law).

16.4 Data Retrieval

Regardless of the reason for termination, Clawhost will retain your account data, agent configurations, and vault secrets for a minimum of thirty (30) days following termination ("Retrieval Period") and will provide reasonable access for you to export your data during this period, unless:

(a) Retention is prohibited by applicable law, regulation, or court order;

(b) The data poses an ongoing security threat to the Service or other users (e.g., contains malware or is actively being used for an attack);

(c) A law enforcement authority requests immediate preservation or deletion.

If any of the above exceptions apply, Clawhost will notify you (to the extent permitted by law) and, where possible, provide an alternative means of retrieving non-harmful data. Following the Retrieval Period, data will be deleted in accordance with Section 8.8.


17. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond the party's reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, power failures, internet or telecommunications failures, cyberattacks, third-party service outages, or labor disputes. The affected party shall use reasonable efforts to mitigate the impact and resume performance as soon as practicable.


18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

18.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be submitted to the exclusive jurisdiction of the competent courts of Tallinn, the Republic of Estonia.

18.3 Pre-Litigation Resolution

Before initiating any legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of not less than thirty (30) days from the date of written notice of the dispute.

18.4 Consumer Protections

Nothing in this Section 18 shall deprive you of the protection of the mandatory consumer protection laws of your country of residence, or of your right to bring proceedings before the courts of that country, where applicable under EU Regulation 1215/2012 (Brussels I Recast) or similar legislation.


19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Clawhost with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

19.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

19.3 Waiver

The failure of Clawhost to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any provision shall be effective only if in writing and signed by an authorized representative of Clawhost.

19.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Clawhost. Clawhost may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and assigns.

19.5 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Clawhost.

19.6 Notices

Notices to you may be sent to the email address associated with your account. Notices to Clawhost should be sent to legal@clawhost.com. Notices are deemed received (a) upon sending, if by email with confirmed delivery, or (b) three (3) business days after deposit, if by registered mail.

19.7 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

19.8 Language

These Terms are drafted in English. In the event of a conflict between the English version and any translated version, the English version shall prevail.
